Pills Platform

These Terms & Conditions (“Terms”) govern your access to and use of the Pills platform, including the Pills web applications and the Pills Companion mobile application (together, the “Services”).

By accessing, downloading, installing, or using any part of the Services, you agree to these Terms. If you do not agree with these Terms, you should not access or use the Services.
These Terms should be read together with our Privacy Policy, which explains how personal information is collected, used, stored and processed in connection with the Services.
Pills is a connected software platform designed to support pharmacy operations and workflows.
The platform provides a number of applications, each designed to support different aspects of pharmacy operations, including coding, prescription workflows, stock management, verification, delivery and payments.
Pills Companion is the mobile application that works alongside the Pills platform. It provides mobile scanning and document-processing functionality, including:
The specific features available to you may depend on your account, organisation, subscription, configuration, permissions, device and the Pills services made available to you.
Pills is a software platform designed to support pharmacy operations.
Unless expressly stated otherwise, Pills does not provide medical advice, diagnosis, treatment, clinical judgement or professional healthcare services.
The Services are intended to support pharmacy professionals and organisations in carrying out their workflows. They do not replace the professional judgement, responsibilities or obligations of pharmacists, pharmacy technicians, prescribers, healthcare professionals or other appropriately qualified individuals.
You remain responsible for ensuring that information processed through the Services is reviewed and used appropriately.
You should not rely solely on automated scanning, OCR, extracted information, notifications, calculations, recommendations, or other information generated or displayed by the Services where professional verification is required.
Where a decision may affect patient safety, medication, treatment, dispensing or other healthcare activity, an appropriately qualified professional should verify the relevant information before relying upon it.
The Services are primarily intended for use by pharmacies, pharmacy businesses, healthcare organisations, their authorised personnel and other users authorised by an organisation using Pills.
You must:
If you are accessing Pills on behalf of a pharmacy, company or other organisation, you confirm that you have authority to act on behalf of that organisation where such authority is required.
Certain Pills services may require an account.
You are responsible for maintaining the confidentiality of your login credentials and for activity carried out through your account, except where that activity results from circumstances outside your reasonable control.
You must notify the relevant Pills support contact promptly if you believe that:
Accounts and permissions may be managed by an organisation or pharmacy administrator. Where this applies, your access to certain features may be created, modified, suspended or removed by that organisation.
Pills Companion is designed to operate as a mobile companion to the Pills platform.
To use Pills Companion, you may need:
You are responsible for ensuring that your device is adequately secured and that you install application updates when reasonably required.
You must not use Pills Companion to:
Pills Companion may allow you to scan QR codes and Data Matrix codes.
Scanning functionality is provided as a technical tool for information capture and workflow support.
The successful scanning, decoding or interpretation of a code may depend on factors including:
You are responsible for verifying information obtained through scanning before relying on it where verification is required.
Pills does not guarantee that every QR code or Data Matrix code will be successfully scanned, decoded or interpreted.
Pills Companion may provide document scanning and OCR functionality.
OCR technology converts information contained in images or documents into machine-readable text. OCR is not guaranteed to be completely accurate.
The accuracy of OCR may be affected by:
You are responsible for reviewing OCR-generated information and correcting or verifying it where necessary before using it for operational, administrative, clinical, financial or other purposes.
Pills should not be treated as guaranteeing that information extracted through OCR is complete, accurate or error-free.
The Services are intended to support pharmacy workflows but do not remove the responsibilities of the pharmacy, organisation or professional user.
You remain responsible for:
Pills should be used as part of your organisation's existing procedures and controls and should not be treated as a replacement for professional oversight.
You or the organisation you represent may provide information to the Services, including operational, business, pharmacy, document, scanning or other information.
You retain ownership of information that you lawfully own and provide to the Services, subject to any rights that Pills may have to process that information in order to provide the Services.
Where Pills processes personal data on behalf of a pharmacy or other organisation, the parties' respective data-protection roles and responsibilities will depend on the particular processing activity and contractual arrangement.
Under UK data protection law, whether an organisation acts as a controller or processor depends on who determines the purposes and means of the processing.
Our processing of personal data is described in the Pills Privacy Policy and, where applicable, in agreements between Pills and the relevant organisation.
We take the protection of personal information seriously.
Personal data processed through the Services may include information contained within documents, scanned materials or information entered into the Pills platform.
The collection and processing of personal data is governed by our Privacy Policy and any applicable agreement with the organisation using the Services.
Where Pills acts as a processor for a pharmacy or organisation, processing will be carried out in accordance with the applicable contractual instructions and data protection requirements.
Where Pills acts as a controller for particular processing activities, Pills will determine the purposes and means of that processing as applicable.
You should not upload, scan, capture or otherwise process information through the Services unless you have an appropriate legal basis and authority to do so.
We use reasonable technical and organisational measures designed to protect the Services and information processed through them.
However, no software, application, network, device or internet transmission can be guaranteed to be completely secure.
You are responsible for maintaining appropriate security on devices used to access the Services, including keeping operating systems, browsers and applications reasonably up to date and protecting your account credentials.
If you become aware of a suspected security incident involving the Services, you should contact Pills promptly using the contact details provided on our website or through your organisation's Pills support channel.
You must use the Services responsibly and lawfully.

We aim to make the Services available and reliable, but we do not guarantee that they will always be available, uninterrupted or error-free.
The Services may occasionally be unavailable because of:
We may update, modify, improve or discontinue features of the Services from time to time.
Where practical, we will seek to provide reasonable notice of significant changes that materially affect the Services.
The Services may interact with or depend on third-party services, platforms, operating systems, app stores, payment providers, cloud infrastructure, communications services or other technologies.
Third-party services may be subject to their own terms and privacy policies.
Pills is not responsible for third-party services to the extent that their operation is outside Pills' reasonable control.
Your use of third-party services may therefore be subject to additional terms imposed by those providers.
Pills Companion may be made available through third-party application stores, including the Apple App Store and Google Play.
Your use of Pills Companion may also be subject to the applicable terms and conditions of the relevant app store.
The app store provider is not responsible for providing support or maintenance for Pills Companion unless expressly required under its applicable terms.
All intellectual property rights in the Pills platform and Services, including but not limited to:
are owned by or licensed to Pills and are protected by applicable intellectual property laws.
Nothing in these Terms transfers ownership of Pills intellectual property to you.
Subject to these Terms and any applicable commercial agreement, you are granted a limited, non-exclusive, non-transferable right to use the Services for their intended purpose.
You must not copy, reproduce, modify, distribute, sell, licence, lease or commercially exploit Pills intellectual property without appropriate permission.
You remain responsible for the information, documents and other content that you submit, upload, capture or otherwise process through the Services.
You confirm that you have the necessary rights, permissions and lawful authority to submit or process such information.
You grant Pills the rights necessary to host, transmit, process, store and otherwise use that content solely to the extent required to provide, maintain, secure and improve the Services, subject to our Privacy Policy and any applicable agreement with your organisation.
Certain Pills services may be provided on a subscription or paid basis.
Where applicable, pricing, billing arrangements, subscription periods, renewal terms and cancellation provisions will be communicated separately through an order form, subscription agreement, website, invoice or other applicable commercial agreement.
If you use Pills on behalf of a pharmacy or organisation, the commercial terms agreed with that organisation may apply to your access.
Nothing in these Terms changes any separately agreed commercial contract unless expressly stated.
We may suspend or restrict access to the Services where reasonably necessary, including where:
Where reasonably possible, we will seek to provide notice before suspension unless immediate action is necessary for security, legal or safety reasons.
Termination or suspension of access does not affect rights or obligations that arose before termination.
To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.

Nothing in these Terms excludes or limits any warranty, condition, right or remedy that cannot lawfully be excluded or limited.

In particular, nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that applicable law does not permit us to exclude or limit.
Where Pills provides services to consumers, statutory consumer rights continue to apply. UK consumer law places restrictions on unfair terms and on attempts to exclude certain responsibilities.
Where Pills provides services to a business under a separate commercial agreement, the liability provisions in that agreement may apply.
Where permitted by applicable law, you agree to be responsible for losses or claims arising from your material breach of these Terms, unlawful use of the Services, or infringement of another person's rights resulting from information or content that you submit to the Services.
This section does not apply to the extent that the relevant loss or claim results from Pills' own breach of its legal obligations or other circumstances for which Pills is responsible under applicable law.
We may update these Terms from time to time to reflect changes to:
When we make material changes, we may provide notice through the Services, our website or other appropriate means.
The updated Terms will become effective from the date stated in the updated version.
Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.
These Terms are governed by the laws of England and Wales, unless applicable law requires otherwise.
The courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms, subject to any mandatory rights you may have under applicable consumer or other laws.
These Terms, together with the Pills Privacy Policy and any applicable commercial, subscription, order or other agreement entered into between Pills and an organisation, constitute the agreement governing your use of the relevant Services, to the extent applicable.
If there is a conflict between these Terms and a separately executed commercial agreement, the separately executed agreement will prevail to the extent of the conflict.
